EFFECTIVE DATE: OCTOBER 24, 2026
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (āyouā) and Ironclad Scaleā¢ (āwe,ā āusā or āourā), concerning your access to and use of the Ironclad Scaleā¢ platform and Ironclad Engineā¢. By accessing the Site, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Service.
Unless otherwise indicated, the Site and the Ironclad Engineā¢ are our proprietary property. All source
code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics
on the Site (collectively, the āContentā) and the trademarks, service marks, and logos contained therein
(the āMarksā) are owned or controlled by us or licensed to us, and are protected by copyright and
trademark laws.
License Grant: We grant you a limited, non-exclusive, non-transferable license to
access the Ironclad Engine for your internal business operations. Resale of the software is strictly
prohibited unless you hold a valid Sovereign Tier License.
By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Terms of Service; (3) you are not a minor in the jurisdiction in which you reside; (4) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise (except as provided by the Ironclad Engine's own automation features).
Billing: You agree to provide current, complete, and accurate purchase and account
information for all purchases made via the Site. We bill you through an online billing account for
purchases made via Stripe.
Refunds: All sales are final and no refund will be issued.
Cancellation: You can cancel your subscription at any time by logging into your
account. Your cancellation will take effect at the end of the current paid term.
You may not access or use the Site for any purpose other than that for which we make the Site available.
The Site may not be used in connection with any commercial endeavors except those that are specifically
endorsed or approved by us.
Specifically, you agree not to:
- Systematic retrieval of data or other content from the Site to create or compile, directly or
indirectly, a collection, compilation, database, or directory without written permission from us.
- Circumvent, disable, or otherwise interfere with security-related features of the Site.
- Use the Site to advertise or offer to sell goods and services, unless permitted by your specific
License Tier.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These Terms shall be governed by and defined following the laws of Delaware. Ironclad Scaleā¢ and yourself irrevocably consent that the courts of Delaware shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
The "Liability Shieldā¢", "Dispatcher Coreā¢", and "Risk Profile" configurations are proprietary trade secrets of Ironclad Scaleā¢. Reverse engineering or extracting these logic patterns is a violation of international copyright law.
